1. Agreement to Terms

By accessing or using re-plate's services, software, website, or any related platforms (collectively, the "Service"), you agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use immediately. These terms apply to all users, including restaurant operators, kitchen partners, and administrators.

2. Description of Service

re-plate provides an AI-powered kitchen intelligence platform that uses computer vision, CCTV integration, and machine learning to monitor food safety compliance, hygiene standards, SOP adherence, and chef training within commercial kitchens. The Service includes a web dashboard, mobile applications, edge AI devices, real-time alerts, and compliance reports.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your restaurant or business to use the Service. By accepting these terms, you represent and warrant that you have such authority.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify re-plate of any unauthorised use of your account. re-plate is not liable for any loss arising from unauthorised access to your account due to your failure to safeguard your credentials.

5. Camera Installation & Data Collection

By installing re-plate's edge AI cameras or integrating your CCTV feed with our platform, you confirm that:

  • You own or have lawful rights to the premises where cameras are installed.
  • You have informed all kitchen staff members that AI-based monitoring is in place, in compliance with applicable Indian labour laws and workplace regulations.
  • You have obtained all necessary consents from employees where required.
  • Video and analytics data collected is used solely for compliance and operational improvement purposes.

6. Subscription & Payment

Access to re-plate is provided on a subscription basis. Pricing details are communicated during the onboarding process. Payments are processed via Razorpay and are subject to Razorpay's terms. Subscriptions auto-renew unless cancelled at least 7 days before the renewal date. re-plate reserves the right to modify pricing with 30 days' advance notice.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to reverse-engineer, decompile, or extract source code from our AI models or software.
  • Use video footage collected through re-plate for purposes other than kitchen compliance and operations.
  • Share, sell, or distribute access to your re-plate account to unauthorised third parties.
  • Interfere with or disrupt the integrity or performance of the Service.

8. Intellectual Property

All software, AI models, algorithms, dashboards, and content provided by re-plate are the exclusive intellectual property of Hidden Flavour Private Limited You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period. No ownership is transferred to you.

9. Disclaimers

re-plate provides compliance monitoring as a tool to assist restaurant operators. It does not guarantee 100% detection accuracy and should not be used as the sole mechanism for food safety management. re-plate is not liable for any FSSAI violations, food safety incidents, or regulatory penalties that occur regardless of Service usage.

10. Limitation of Liability

To the maximum extent permitted by applicable law, re-plate's total liability to you for any claims arising under these Terms shall not exceed the amount you paid to re-plate in the three (3) months preceding the claim. re-plate is not liable for indirect, incidental, consequential, or punitive damages.

11. Termination

Either party may terminate the subscription with 30 days' written notice. re-plate may suspend or terminate your access immediately if you violate these Terms. Upon termination, your access to the Service and associated data will be discontinued subject to our data retention policy.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Ahmedabad, Gujarat, India.
